The Terms and Conditions applicable to an order are those in force on the date the quote is accepted.
1. Presentation and scope
Soldin Conciergerie (hereinafter "Soldin") provides concierge and intermediation services in the field of ticketing, in particular for concerts, sporting competitions, festivals, shows and other events.
Soldin acts mainly as an intermediary and, where expressly provided, as the client's agent, in order to search for or purchase, on the client's behalf, tickets offered by third-party sellers or platforms.
Unless expressly stated otherwise, Soldin is neither the owner nor the seller of the tickets sought or purchased on the client's behalf. Soldin is also not the organiser of the events concerned.
These general terms and conditions of sale ("T&Cs") apply to any service provided by Soldin, whatever the means of ordering (messaging, email, social networks, telephone). They are addressed to consumer clients and, under the conditions of article 17, to professional clients. The "client" means any person who orders a service from Soldin.
2. Nature of the services
Soldin provides in particular the following services.
2.1. Search and purchase of tickets on the client's behalf
The client provides their search criteria: the event sought, number of tickets, budget, desired category or location and any other useful preference.
Soldin searches for offers matching the client's request and may, after the quote has been accepted, purchase the tickets in the client's name and on their behalf from a third-party seller or platform. Soldin is bound by an obligation of means: it does not guarantee that an offer matching the request will be found.
Where the seller's or platform's conditions allow, tickets are issued or transferred directly in the client's name.
The price of the tickets is separate from Soldin's remuneration.
2.2. Reliability analysis
The client may request the analysis of a profile, an advertisement, a website or any other element relating to a ticketing transaction.
Soldin provides an analysis based on the information accessible at the time of the check. This is an analysis service: it does not constitute an absolute guarantee against fraud and does not relieve the client of their own vigilance.
2.3. Intermediation between buyer and seller
Soldin may also act as an intermediary between an individual buyer and an individual ticket seller.
The terms of this intervention, as well as the corresponding remuneration, are set out in a specific quote or contract accepted by the parties.
Unless otherwise stipulated, Soldin is not a party to the sale of the ticket between the buyer and the seller.
3. Purchase mandate and sums collected on the client's behalf
When the client entrusts Soldin with a ticket purchasing assignment, the client gives Soldin a mandate to purchase, in their name and on their behalf, the tickets of the offer they have chosen, from the partner seller offering it, under the conditions accepted in the quote. The accepted quote constitutes a purchase mandate.
Soldin then acts as agent or intermediary, and not as a reseller of the tickets.
The amount corresponding to the price of the tickets is separate from Soldin's remuneration. Where this amount is collected by Soldin, it is intended exclusively for payment of the third-party seller on the client's behalf. It is passed on in full to the seller, without any margin, and constitutes a disbursement, supported by proof of payment to the seller (transfer receipt). It is invoiced to the client only once.
Soldin pays the third-party seller the amount corresponding to the price of the tickets, in accordance with the conditions of the transaction and no later than the first business day following collection.
Where the seller's technical and contractual conditions allow, tickets are issued or transferred directly in the client's name.
Soldin's remuneration corresponds to the service fees (concierge fees, fees or commissions) expressly indicated in the quote and/or the invoice.
Soldin keeps the supporting documents relating to the transactions carried out, in particular proof of payment to the third-party seller, in order to ensure the traceability of the sums collected and paid over as part of the assignment. It provides them to the client on simple request.
4. Prices, quotes and VAT
Before any transaction requiring payment, Soldin sends the client a quote specifying:
- the price of the tickets;
- the number of tickets;
- any fees imposed by the seller or platform;
- Soldin's service fees (commission);
- any payment fees;
- the total amount to be paid;
- the terms of performance of the assignment.
The price of the tickets and Soldin's remuneration are presented separately. Where one of these items is not known on the date of the quote, the quote says so and specifies how it will be determined.
Soldin's commission is calculated on the unit price of each ticket, according to a degressive scale by bracket: each rate applies only to the part of the price falling within the corresponding bracket.
- from €50 to €69.99: 28%;
- from €70 to €199.99: 25%;
- from €200 to €499.99: 22%;
- from €500 to €999.99: 19%;
- from €1,000 to €1,999.99: 17%;
- from €2,000 to €4,999.99: 15%;
- from €5,000 to €9,999.99: 13%;
- from €10,000: 12%.
For a ticket priced below €50, the commission is set case by case and indicated on the quote.
Example: for a ticket at €300, the commission is 28% on the first €70, 25% on the part between €70 and €200, and 22% on the part between €200 and €300, i.e. €19.60 + €32.50 + €22.00 = €74.10 per ticket.
A minimum commission applies to the entire order, all seats combined, according to the bracket of the unit ticket price: €15 (from €50 to €69.99), €20 (from €70 to €199.99), €52 (from €200 to €499.99), €118 (from €500 to €999.99), €213 (from €1,000 to €1,999.99), €383 (from €2,000 to €4,999.99), €833 (from €5,000 to €9,999.99) and €1,483 (from €10,000). This minimum is assessed before any discounts are applied.
A 10% discount on the commission is granted from 4 seats ordered. It may be combined with the other discounts offered by Soldin, in particular under the referral programme. Discounts reduce only the commission, never the price of the tickets.
For certain exceptional events (final, last date, etc.), the rate may be increased, in which case this is indicated in the quote before any acceptance.
The exact amount of the commission appears in all cases on the quote.
Prices are expressed in euros. The VAT regime applicable to Soldin's remuneration is the one indicated at the top of these T&Cs and on the quote.
The quote is valid until the date indicated on it, in principle the day after it is issued, subject to ticket availability and the seller maintaining the price.
Any substantial change in the price or purchase conditions is subject to new validation by the client.
5. Order confirmation
The client accepts the quote, at their choice, by signing it, by a written reply to the email with which it was sent, or by paying the amount indicated. Payment of the quote constitutes acceptance of the quote, of the purchase mandate it contains and of these T&Cs. The order becomes firm when the following are met:
- acceptance of the quote by the client;
- acceptance of these T&Cs;
- payment of the amount indicated in the quote.
Acceptance of the quote authorises Soldin to carry out, on the client's behalf, the steps necessary to purchase the tickets in accordance with the agreed conditions. Soldin confirms to the client in writing the receipt of payment and that the order is being handled.
Soldin may refuse or interrupt a request where there is an identified risk concerning the transaction, the seller, the means of payment or the compliance of the operation. In that case, the sums already paid by the client are refunded to them in full under the conditions of article 10.1.
6. Payment terms
The means of payment offered are those indicated on the quote. They may include:
- bank transfer;
- payment via PayPal, where this option is offered;
- card payment via a secure SumUp payment link, where this option is offered.
Payment is due in full upon confirmation of the order, unless the quote provides otherwise. Soldin starts the purchasing process only after actual receipt of the funds.
Where additional fees are directly linked to the means of payment chosen by the client and are legally applicable, they are indicated before payment.
Unless otherwise agreed, any refund is made by the same means of payment as that used by the client.
7. Right of withdrawal
The provisions of this article concern consumer clients only.
7.1. Services other than the purchase of tickets for an event on a specific date
For distance contracts relating to another service (for example the reliability analysis of article 2.2), the consumer client has a period of fourteen days to withdraw, without having to give a reason, in accordance with the French Consumer Code. They exercise this right by sending Soldin an unambiguous statement by email to contact@soldin.fr. A model withdrawal form is provided on simple request.
Where the client expressly requests that the service begin before the expiry of this period, they are informed of the consequences: if they then withdraw, they pay an amount proportional to what has been provided up to the withdrawal. Where the service has been fully performed before the end of the period, with the client's express prior agreement and their express waiver of the right of withdrawal, this right is lost.
7.2. Tickets for events on a specific date
In accordance with article L221-28, 12° of the French Consumer Code, the right of withdrawal cannot be exercised for leisure activity services to be provided on a specific date or at a specific frequency.
Soldin's orders for tickets to concerts, sporting competitions, festivals, shows and other events on a specific date fall into this category: the client therefore has no right of withdrawal for these orders.
This exclusion extends to the ticket search and purchase service provided by Soldin (article 2.1). By accepting the quote, including by paying it, the client expressly requests that this service be performed immediately, before the end of the withdrawal period, and expressly waives their right of withdrawal once the tickets have been acquired on their behalf. The service then being fully performed, the right of withdrawal can no longer be exercised, in accordance with article L221-28, 1° of the French Consumer Code.
The client is informed of this before confirming the order and acknowledges it by accepting the quote.
The client nevertheless retains the rights provided for in article 10.
8. Client's obligations
The client undertakes to:
- provide accurate and complete information, in particular the exact identity of the beneficiaries where tickets are named;
- check the information appearing on the quote;
- provide the information necessary for the issue or transfer of the tickets;
- comply with the conditions of use imposed by the organiser, the seller or the platform;
- make payments within the agreed time;
- not use Soldin's services for fraudulent or unlawful purposes.
The client acknowledges that certain information or conditions may depend on the seller, the platform or the event organiser.
9. Liability and force majeure
Soldin undertakes to carry out the agreed services diligently and to communicate to the client the information available to it at the time of the transaction. It is liable, under ordinary law, for direct damage caused by its fault or by a breach of its obligations, without prejudice to the rights that the consumer client holds by law.
Soldin cannot, however, guarantee:
- the permanent availability of a ticket;
- that the price of a ticket will be maintained before its actual purchase;
- the decisions or conditions imposed by the organiser;
- the operation of third-party platforms or payment services;
- changes, postponements or cancellations decided by the organiser;
- the conditions of access to the event where they depend on the organiser or the seller;
- the operation of a third-party ticketing application or system.
Where tickets are purchased from a third-party seller, the sale and use conditions of that seller or of the organiser may apply.
Soldin cannot be held liable for a refusal of access resulting from the client's failure to comply with the conditions imposed by the organiser or the ticket.
Soldin is not liable for non-performance or delay in the performance of its obligations where these result from a case of force majeure within the meaning of article 1218 of the French Civil Code, that is, an event beyond its control, which could not reasonably have been foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures. Soldin then informs the client as soon as possible.
10. Cancellation, modification and refund
10.1. Before the tickets are purchased
The client may cancel their request at any time before the tickets are actually purchased. The order is then refunded to them in full (ticket price and Soldin's remuneration) within fourteen days of their request, made by email to contact@soldin.fr.
10.2. After the tickets are purchased
Once the tickets have been purchased and delivered on the client's behalf, no refund is possible, subject to articles 10.3 to 10.6 and mandatory legal provisions.
10.3. Cancellation or postponement of the event
In the event of cancellation or postponement of an event, Soldin passes on to the client the information provided by the seller or the organiser and assists them, where provided for, with the refund or exchange procedures.
The treatment of the ticket price depends on the applicable conditions of the seller or the organiser. Soldin pays the client, within fourteen days of receiving them, the sums refunded for the price of the tickets.
In the event of cancellation of the event, Soldin also refunds the client the whole of its remuneration, within fourteen days of the announcement of the cancellation. In the case of a mere postponement, Soldin's remuneration remains due.
10.4. Cancellation of the order by the third-party seller
If the third-party seller no longer has the offer paid for by the client between the time of payment to Soldin and Soldin's payment to the seller, the entire sum paid by the client is refunded to them by Soldin, within fourteen days.
If the third-party seller cancels the sale after having been paid by Soldin, but before the tickets are delivered to the client, Soldin offers the client, at their choice, either an equivalent or better replacement ticket at no additional cost, if available, or a full refund of the sums paid (ticket price and Soldin's remuneration) within fourteen days of the cancellation, whether or not Soldin has already been refunded by the seller.
10.5. Non-conforming ticket
A ticket is conforming if it corresponds to the event, date, category and location indicated in the accepted quote.
If the client notes, on receipt, a difference from the quote, they must inform Soldin by email within 48 hours of receiving the ticket and, in any event, before the event.
Soldin then offers, as far as possible, an equivalent or better replacement ticket. Failing that, or if the client declines the offer, the ticket price and Soldin's remuneration are refunded in full within fourteen days.
10.6. Ticket already sold, invalid or refused
If the ticket delivered proves to have already been sold, cancelled, duplicated or invalid, and the client provides evidence of this (refusal at the entrance, message from the platform, etc.), Soldin undertakes, at the client's choice:
- either to provide, free of charge, an equivalent replacement ticket, if available;
- or to refund all sums paid (ticket price and remuneration) within fourteen days.
Soldin assists the client with the refund or exchange procedures with the seller or platform.
This refund does not apply if the invalidity results from a breach by the client (resale, transfer to a third party, non-compliance with the organiser's conditions).
11. Delivery of tickets
Tickets may be delivered in different formats, in particular:
- electronic ticket;
- mobile ticket;
- PDF;
- transfer via a platform;
- any other format offered by the seller or the organiser.
Where the seller carries out the transfer directly in the client's name, Soldin provides the client with the information needed to follow the operation.
Delivery times depend in particular on the seller, the platform and the organiser.
Once the tickets have been delivered, the client is responsible for their safekeeping and confidentiality. They undertake not to circulate the barcodes or QR codes, which can be used only once.
12. Personal data protection
The data controller is Jean-François JÉGOT, operator of Soldin (contact details at the top of these T&Cs).
Data collected: identity, contact details, information relating to the order and to the ticket beneficiaries, payment data necessary for the transaction.
Purposes and legal bases:
- performance of the contract and management of orders, payments and invoicing (performance of the contract);
- compliance with legal obligations, in particular accounting and tax obligations (legal obligation);
- fraud prevention and securing of transactions (legitimate interest).
Recipients: data is not sold to third parties. It may be passed to sellers, platforms, organisers and payment providers, only to the extent necessary for the performance of the service and where such transmission is legally justified.
Retention period: data relating to the commercial relationship is kept for the duration of the relationship and then for 3 years after the last contact. Accounting documents (quotes, invoices, proof of payment) are kept for 10 years, in accordance with legal obligations.
Client's rights: the client has the right of access, rectification, erasure, restriction, objection and portability of their data, as well as the right to define directives regarding the fate of their data after their death. Any request may be sent to contact@soldin.fr. The client may also lodge a complaint with the CNIL (cnil.fr, 3 place de Fontenoy, TSA 80715, 75334 Paris Cedex 07, France).
13. Consumer mediation
In accordance with the provisions of the French Consumer Code, the consumer client may, subject to the applicable legal conditions, use a consumer mediator free of charge after first sending a written complaint to Soldin.
14. Intellectual property
The content, analyses, documents, texts, media and graphic elements created by Soldin as part of its activity remain protected by the applicable intellectual property provisions.
Any reproduction, use or distribution without Soldin's prior written authorisation is prohibited.
15. Complaints and amicable settlement
Any complaint must be addressed in the first instance to Soldin by email at contact@soldin.fr.
Soldin acknowledges receipt of the complaint within 5 business days and endeavours to reply within 30 days, seeking an amicable solution with the client.
Failing an amicable resolution, the consumer client may bring the matter before the competent court under the conditions of article 16.
16. Governing law and disputes
These T&Cs are governed by French law.
Where the client is a consumer, the mandatory provisions applicable to them, in particular those of the French Consumer Code, remain fully applicable. They may bring the matter, at their choice, before the court of the place where they lived at the time the contract was concluded or the harmful event occurred, or that of Soldin's place of domicile.
For professional clients, the provisions of article 17 apply.
17. Professional clients
Where the client acts for professional purposes, the following provisions apply.
- Articles 7 (right of withdrawal) and 13 (consumer mediation) do not apply.
- In the event of late payment, penalties are due automatically, without reminder, at a rate of three times the legal interest rate, together with a fixed recovery fee of 40 euros, in accordance with article L441-10 of the French Commercial Code.
- Soldin's liability is limited to the total amount paid by the client for the order concerned, except in the case of gross negligence or wilful misconduct.
- Any dispute falls within the jurisdiction of the competent courts of Brest.
18. General provisions
Contractual documents: the accepted quote, which constitutes a purchase mandate, and these T&Cs form the entire contract. In the event of a conflict, the quote prevails over the T&Cs for the points it specifies.
Evidence: written exchanges between Soldin and the client (email, messaging) and proof of payment are evidence of the agreed transactions.
Partial invalidity: if a provision of the T&Cs is declared null or unenforceable, the other provisions remain in force.
Non-waiver: Soldin's failure to rely on a provision at a given time does not constitute a waiver of the right to rely on it later.
Amendment of the T&Cs: Soldin may amend the T&Cs. The T&Cs applicable to an order are those in force on the date the quote is accepted.
Language: the T&Cs are drawn up in French. This English version is provided for convenience only; the French version prevails.
19. Acceptance of the T&Cs
Acceptance of the quote, by signature, written reply or payment, implies acknowledgement and acceptance of these T&Cs and of the purchase mandate contained in the quote, subject to applicable mandatory legal provisions.
The client acknowledges having received, before the conclusion of the contract, the necessary information on the service, its price and its main terms of performance, including the absence of a right of withdrawal for tickets to events on a specific date (article 7.2).
